Master Terms, Privacy, Data Governance, AI Usage, Risk Allocation and Limitation of Liability Policy

This Master Terms, Privacy, Data Governance, Artificial Intelligence Usage, Risk Allocation and Limitation of Liability Policy (“Policy”) governs the access to, registration for, subscription to, and use of the software-as-a-service platform known as F-AI, including all associated websites, mobile or desktop applications, application programming interfaces, dashboards, artificial intelligence modules, machine learning systems, analytics engines, integrations, documentation, and related digital infrastructure (collectively, the “Platform”). The Platform is owned and operated by AAANS Services Private Limited, a company incorporated under the laws of India, having its registered office at Bangalore, Karnataka, India (“ AAANS,” “Company,” “we,” “us,” or “our”). Any individual, entity, or organization accessing or using the Platform (“User,” “you,” or “your”) agrees that such access and use constitutes a legally binding acceptance of this Policy in its entirety, without limitation or qualification.

The Platform is made available strictly on a commercial, non-exclusive, non-transferable, and revocable basis, and is provided “as is,” “as available,” and “with all faults,” without any representation, warranty, guarantee, assurance, or undertaking of any kind, whether express, implied, statutory, or otherwise. The User expressly acknowledges and agrees that the Platform is a technology enablement tool only, intended to assist with operational efficiency, automation, data processing, and analytical workflows, and does not constitute legal advice, accounting advice, tax advice, audit opinions, regulatory guidance, fiduciary services, professional certifications, statutory determinations, or compliance assurances. All outputs, results, reports, classifications, forecasts, recommendations, alerts, insights, or responses generated by the Platform, whether through automated processes, artificial intelligence, machine learning models, or third-party integrations, are inherently probabilistic, indicative, and non-deterministic in nature, and shall not be relied upon as final, authoritative, complete, or legally binding.

The User irrevocably agrees that the entire risk associated with the use of the Platform rests solely and exclusively with the User. The User is solely responsible for evaluating the accuracy, completeness, relevance, suitability, legality, and compliance of any output or information derived from the Platform, and for determining whether such output is appropriate for any particular business, financial, accounting, tax, regulatory, or legal purpose. The User further agrees that all decisions, actions, filings, disclosures, submissions, or omissions made in reliance upon the Platform or its outputs shall be taken at the User’s own discretion and risk, and that AAANS shall bear no responsibility or liability whatsoever for the consequences of such decisions or actions.

The Platform may be accessed from multiple jurisdictions worldwide. The User expressly acknowledges and agrees that it is the User’s sole responsibility to determine whether access to or use of the Platform is permitted under the laws and regulations applicable to the User’s country, state, or jurisdiction, and to ensure full compliance with all applicable laws, rules, directives, standards, and obligations, including but not limited to accounting standards, tax laws, financial reporting frameworks, data protection and privacy laws, sector-specific regulatory requirements, anti-money laundering obligations, and any other statutory or regulatory requirements. AAANS makes no representation or warranty that the Platform complies with the laws of any particular jurisdiction, and expressly disclaims any obligation to monitor, interpret, advise upon, or ensure the User’s compliance with any applicable law.

In the course of providing the Platform, AAANS may process, store, transmit, analyze, or otherwise handle personal data, business data, financial data, accounting records, transactional information, or other content strictly as submitted, uploaded, generated, or otherwise provided by the User. The User represents and warrants that it has obtained all necessary rights, consents, authorizations, and lawful bases required to provide such data and to permit its processing by AAANS and its service providers, including any cross-border or international transfers. The User acknowledges that data may be processed or stored in multiple jurisdictions, including jurisdictions that may not provide the same level of data protection as the User’s home jurisdiction, and expressly consents to such processing and transfers. AAANS shall not be liable for any violation of data protection, privacy, secrecy, or localization laws arising from the User’s instructions, configurations, or use of the Platform.

To the extent the Platform incorporates artificial intelligence or machine learning technologies, the User acknowledges that such technologies are subject to inherent limitations, including potential inaccuracies, biases, hallucinations, incomplete outputs, evolving behavior, or changes in performance over time. The User further acknowledges that AI-generated outputs may not be explainable, repeatable, or suitable for all use cases. AAANS does not guarantee the accuracy, reliability, completeness, explainability, or appropriateness of any AI-generated output and expressly disclaims all liability arising from reliance upon such outputs. The User agrees to maintain appropriate human oversight, validation, and professional judgment when using AI-enabled features and to ensure that any use of such features complies with applicable laws and ethical standards.

The Platform may integrate with or rely upon third-party services, infrastructure providers, payment processors, analytics providers, or AI technology partners. AAANS does not control and shall not be responsible for the acts, omissions, availability, performance, security, or compliance of any third party. The User acknowledges that failures, disruptions, errors, or breaches attributable to third-party services may occur and agrees that AAANS shall bear no liability for any losses or damages arising therefrom. The User further acknowledges that internet-based services involve inherent risks, including cyberattacks, unauthorized access, data breaches, and system failures, and agrees that AAANS shall not be liable for any such incidents, regardless of cause.

To the maximum extent permitted by applicable law, AAANS Services Private Limited, its directors, officers, employees, affiliates, licensors, contractors, and service providers shall not be liable under any circumstances whatsoever, whether in contract, tort, negligence, strict liability, misrepresentation, breach of statutory duty, or otherwise, for any direct, indirect, incidental, consequential, special, exemplary, punitive, or economic losses or damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, regulatory penalties, tax demands, legal expenses, reputational harm, or third-party claims, arising out of or in connection with the access to, use of, reliance upon, or inability to use the Platform, even if AAANS has been advised of the possibility of such losses. The User expressly waives any and all claims against AAANS in this regard.

The User agrees to indemnify, defend, and hold harmless AAANS, its directors, officers, employees, and affiliates from and against any and all claims, liabilities, losses, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to the User’s use of the Platform, violation of this Policy, violation of any applicable law, infringement of any third-party rights, or reliance upon the Platform’s outputs.

Notwithstanding anything contained in this Policy or any other agreement, the User expressly agrees that in no event shall the aggregate liability of AAANS, if any, exceed an amount equal to twenty percent (20%) of the total fees actually paid by the User to AAANS for the Platform during the specific financial year in which the event giving rise to the claim occurred, and that such amount shall constitute the User's sole and exclusive remedy. Any approved refund shall be processed within ninety (90) days from the date of approval. No refunds, compensation, damages, or relief of any other nature shall be payable, and no claims shall be entertained beyond such limitation. All other amounts paid shall be deemed non-refundable.

This Policy, and all matters arising out of or relating to the Platform, shall be governed exclusively by the laws of India, without regard to conflict-of-laws principles. The courts located at Bangalore, Karnataka, India, shall have exclusive jurisdiction, and the User irrevocably submits to such jurisdiction and waives any objection thereto. In the event of any ambiguity, inconsistency, or dispute regarding interpretation, the interpretation most favorable to AAANS Services Private Limited shall prevail. AAANS reserves the unrestricted right to amend, modify, or update this Policy at any time, with immediate effect upon publication, and the User’s continued use of the Platform shall constitute conclusive acceptance of such amendments.
