1. Privacy, Data Governance, AI Usage, Risk Allocation & Limitation of Liability Statement

AAANS Services Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Bangalore, Karnataka, India (“ AAANS,” the “Company”), is the owner and operator of the software-as-a-service platform marketed under the brand F-AI, including all associated websites, applications, interfaces, APIs, artificial intelligence modules, machine learning systems, analytics engines, and related digital infrastructure (collectively, the “Platform”). By accessing, registering for, subscribing to, or using the Platform in any manner whatsoever, whether directly or indirectly, the user (“User”) irrevocably agrees that such access and use is undertaken entirely at the User’s own discretion, risk, and responsibility, and that the Platform is provided strictly on an “as is,” “as available,” and “with all faults” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

The User expressly acknowledges and agrees that the Platform is a technology enablement tool only, and does not constitute, replace, or purport to provide legal advice, tax advice, accounting opinions, regulatory guidance, fiduciary services, professional certifications, statutory determinations, or compliance assurances of any nature. Any outputs, insights, analyses, forecasts, reconciliations, classifications, recommendations, alerts, or responses generated by the Platform, including those produced through artificial intelligence, machine learning, automation, or third-party integrations, are indicative, assistive, probabilistic, and non-deterministic, and shall not be relied upon as final, authoritative, or legally binding. All decisions, filings, disclosures, interpretations, and compliance actions taken on the basis of such outputs shall remain the sole and exclusive responsibility of the User, who is advised to obtain independent professional advice prior to acting thereon.

The User further agrees and confirms that they are solely responsible for ensuring that their use of the Platform complies with all applicable laws, regulations, directives, standards, and obligations in any jurisdiction in which they operate or from which the Platform is accessed, including but not limited to data protection and privacy laws, accounting and auditing standards, tax statutes, financial reporting frameworks, anti-money laundering regulations, sector-specific regulatory requirements, and cross-border data transfer restrictions. AAANS makes no representation or warranty that the Platform complies with, or is appropriate for use under, the laws of any specific jurisdiction, and expressly disclaims any obligation to monitor, interpret, or advise on such legal or regulatory compliance on behalf of the User.

The Platform may process, store, transmit, analyze, or otherwise handle personal data, business data, and financial or accounting information strictly as submitted, uploaded, or otherwise provided by the User. The User represents and warrants that they have obtained all necessary rights, authorizations, consents, and lawful bases required to provide such data and to permit its processing, including any international or cross-border transfers. The User acknowledges that data may be processed or stored in multiple jurisdictions and through third-party service providers, and expressly consents to such processing and transfers. AAANS shall not be liable for any breach of local data protection, privacy, secrecy, or localization laws arising from the User’s use of the Platform or instructions provided by the User.

To the extent the Platform utilizes artificial intelligence or machine learning technologies, the User acknowledges that such systems may evolve, adapt, or generate outputs based on algorithmic processes that are inherently subject to limitations, biases, inaccuracies, or errors. AAANS does not guarantee the accuracy, completeness, explainability, or suitability of any AI-generated outputs and expressly disclaims liability for any consequences arising from reliance upon such outputs. The User remains fully accountable for validating results, applying human oversight, and ensuring lawful and appropriate usage of AI-enabled functionalities.

To the maximum extent permitted by applicable law, AAANS Services Private Limited, its directors, officers, employees, affiliates, licensors, contractors, and service providers shall not be liable under any circumstances whatsoever, whether arising in contract, tort, negligence, strict liability, misrepresentation, breach of statutory duty, or otherwise, for any direct, indirect, incidental, consequential, special, exemplary, punitive, or economic losses or damages, including without limitation loss of profits, revenue, data, goodwill, business opportunities, regulatory penalties, tax demands, legal expenses, reputational harm, or third-party claims, arising out of or in connection with the access to, use of, reliance upon, or inability to use the Platform, even if AAANS has been advised of the possibility of such losses. The User expressly waives any and all claims against AAANS in this regard and agrees to indemnify, defend, and hold harmless AAANS from and against all claims, liabilities, losses, damages, penalties, costs, and expenses arising from the User’s use of the Platform or violation of any applicable law.

Notwithstanding anything contained herein or elsewhere, the User agrees that in no event shall the aggregate liability of AAANS, if any, exceed an amount equal to twenty percent (20%) of the total fees actually paid by the User to AAANS for the Platform during the specific financial year in which the cause of action arose, and such amount shall constitute the User’s sole and exclusive remedy. No refunds, compensation, or damages of any other nature shall be payable, and no claims shall be entertained beyond the aforesaid limitation.

This statement, and all matters arising out of or relating to the Platform, shall be governed exclusively by the laws of India, and the courts situated at Bangalore, Karnataka, India, shall have exclusive jurisdiction. In the event of any ambiguity, inconsistency, or dispute regarding interpretation, the interpretation most favorable to AAANS Services Private Limited shall prevail. AAANS reserves the unrestricted right to amend, modify, or update these terms at any time, with immediate effect upon publication, and continued use of the Platform shall constitute unconditional acceptance thereof.

2. Document IV: International Data Protection & Transfer Addendum

(Protection-Preserving Version)

For purposes of applicable data protection laws in relevant jurisdictions, AAANS acts as a data processor with respect to Customer-provided personal data and as a data controller with respect to Platform operational data. The User represents and warrants that it has established a lawful basis under applicable privacy law for the collection, use, and transfer of personal data to AAANS.

The User acknowledges and expressly consents to the processing and storage of data in multiple jurisdictions, including outside their home region, and agrees that such transfers are necessary for the provision of the services. Where required, such transfers shall be subject to appropriate safeguards, including standard contractual clauses, without creating additional liability for AAANS.

AAANS shall implement reasonable technical and organizational measures to protect personal data; however, the User acknowledges that no system is completely secure and agrees that AAANS shall not be liable for unauthorized access, cyber incidents, or third-party security failures except to the extent mandatorily required by applicable law.

The User agrees that AAANS shall not be responsible for responding to data subject rights requests arising from User instructions or legal obligations and shall not be liable for conflicts between applicable data protection requirements in different jurisdictions. Nothing in this addendum shall be construed to expand AAANS’s liability beyond the limitations set forth in the TOS or MSA.
